ARTICLE I

Membership

Section 1.  Membership in this organization shall be open to any woman over eighteen years of age with an amateur status.

Section 2.  Proposals for active membership shall be sent in writing to the Membership Committee and signed by two members.  A two-thirds vote of the Board of Directors shall constitute an election.

Section 3.  Sustainer membership shall be granted to any member upon request of said member and fulfillment of one of the following criteria:  (a) JWGA membership for 15 years; (b) Served on the JWGA Board for 8 years; or (c) served as JWGA President.  Dues shall be affixed at an amount less than active membership dues.  Golf privileges are retained.  Voting rights are rescinded.  Sustainer membership closed by member vote on 2/29/2012.  Status of the 13 current sustainers is grandfathered.

ARTICLE II

Board of Directors

Section 1.  The business affairs of this Association shall be managed by and conducted by a Board of Directors, composed of the President, Vice-President, Secretary and Treasurer and the Chairmen of the Standing Committees.  The officers of this Association shall be elected at an annual meeting, and hold their respective offices until their successors are elected.

Section 2.  The Board of Directors shall have power to fill any vacancy in their number and the office of President and Vice-President until the next annual election.

Section 3.  In addition, the Board of Directors shall have power: (a) to call special meetings of the Association when in their discretion the same shall be necessary or advisable;  (b) to censure or expel any member for any conduct unbecoming a lady, or which is improper or prejudicial to the welfare and reputation of the Association.  No member shall be censured or expelled except by the affirmative vote of two-thirds of all members of the Board.

Section 4.  A vote upon the admission of a member, or upon the censure or expulsion of a member, shall be held by members of the Board in secrecy.

Section 5.  The Board of Directors shall meet at the call of the President or Vice-President.  A majority of its members present shall constitute a quorum. 

ARTICLE III

Officers

Section 1.  The President shall preside at all meetings of the Association and at meetings of the Board of Directors.  She shall name the Chairmen of the Standing Committees and confer with them in the formation of their committees, on which she shall act as member ex-officio.  In general, she shall perform the duties inherent to her office.

Section 2.  During the absence or disability of the President, the Vice-President shall perform her duties, and shall act as member ex-officio with the president on all committees.

Section 3.  The Secretary shall keep the records of all meetings of the Association and of the Board of Directors.  She shall have charge of all papers and correspondence of the Association.

Section 4.  The Treasurer shall keep an accurate account of all funds received by her, depositing such monies in the name and to the credit of the Association in such depository as shall be designated by the Board of Directors.  She shall present at each business meeting of the Association a written report of the finances of the Association and shall make a like report whenever requested by the Board of Directors.  In general she shall perform the duties inherent in her office.

Section 5.  The immediate past president shall be made Honorary President and sit on the Board in an advisory capacity with no vote.
